Terms of Service

01 / Acceptance of Terms

By accessing or using any Z-Code service, website, or application (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

Z-Code reserves the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

02 / Description of Services

Z-Code provides software development services and SaaS products, including but not limited to:

  • Zen — A project management and client transparency platform for software teams, accessible at zen.zcode.id.
  • Custom Software Development — Tailored software solutions built for clients.
  • White Label Products — Software products licensed for rebranding by third parties.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

03 / User Accounts

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials and not share them with others.
  • Notify us immediately at hello@zcode.id if you suspect unauthorized use of your account.
  • Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

04 / Acceptable Use

You agree not to use our Services to:

  • Violate any applicable Indonesian or international law or regulation.
  • Upload or transmit viruses, malware, or any malicious code.
  • Attempt to gain unauthorized access to our systems, servers, or databases.
  • Scrape, crawl, or harvest data from our platforms without written permission.
  • Harass, abuse, or harm other users.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Use our Services for any unlawful, fraudulent, or deceptive purpose.

05 / Intellectual Property

All content, features, and functionality of our Services — including but not limited to software code, design, text, graphics, logos, and trademarks — are the exclusive property of Z-Code and are protected by Indonesian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes. You may not copy, modify, distribute, sell, or sublicense any part of our Services without our prior written consent.

Content you create and submit through our Services (e.g., projects, tickets, comments) remains your property. By submitting content, you grant Z-Code a limited license to store, process, and display it solely for the purpose of providing the Services to you.

06 / Subscription & Payment

Certain Services may require a paid subscription. By subscribing:

  • You authorize us to charge the applicable fees to your designated payment method.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • Refunds are provided at our discretion and subject to our refund policy communicated at point of purchase.
  • We reserve the right to modify pricing with at least 30 days advance notice.

07 / Data & Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your data as described in the Privacy Policy.

08 / Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Scheduled maintenance, unexpected outages, or events beyond our control may cause temporary disruptions. We are not liable for any loss resulting from service unavailability.

09 / Disclaimer of Warranties

Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be error-free, secure, or free of viruses or other harmful components.

10 / Limitation of Liability

To the maximum extent permitted by applicable law, Z-Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with:

  • Your use of or inability to use our Services.
  • Unauthorized access to or alteration of your data.
  • Any third-party conduct or content on our platform.

Our total cumulative liability shall not exceed the amount paid by you to Z-Code in the 12 months preceding the claim.

11 / Termination

Either party may terminate the use of Services at any time. You may close your account through account settings or by contacting us. We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use the Services ceases immediately. Sections concerning intellectual property, disclaimers, limitations of liability, and governing law shall survive termination.

12 / Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia. Any disputes arising from these Terms or your use of our Services shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts in Indonesia.
